These Vendor Terms & Conditions (“Vendor Terms”) govern the relationship between Nutrychem (“Nutrychem”, “we”, “us”, or “our”) and any individual, business, brand, manufacturer, producer, practitioner, or other entity (“Vendor”, “you”, or “your”) that applies to, registers for, or operates a vendor account on the Nutrychem marketplace.

By registering as a Nutrychem Vendor, submitting products, accepting orders, or using any vendor-related service, you agree to these Vendor Terms, our general Terms & Conditions, Privacy Policy, Refund & Returns Policy, and any other marketplace policies applicable to you.

If you do not agree to these terms, you may not operate as a Nutrychem Vendor.


1. About the Nutrychem Marketplace

Nutrychem operates a multi-vendor marketplace designed to connect customers with independent businesses offering natural, handmade, organic, wellness, beauty, personal-care, herbal, and lifestyle products.

Nutrychem may also provide vendors with access to business-growth resources and services including:

  • Marketplace exposure
  • Vendor storefronts
  • Product listing tools
  • Marketing opportunities
  • Educational resources
  • Business-growth guidance
  • Branding and graphic design
  • Packaging and labelling services
  • Product photography
  • SEO services
  • Digital marketing
  • Advertising services
  • Content creation support
  • Business tools and resources

Nutrychem may introduce additional services, features, programmes, or facilities as the marketplace develops.


2. Independent Vendor Relationship

Vendors operate as independent businesses.

Nothing in these Vendor Terms creates an employment relationship, partnership, joint venture, franchise, agency relationship, or legal representation relationship between Nutrychem and the Vendor.

Unless expressly agreed otherwise in writing, Nutrychem does not manufacture, formulate, package, own, or physically produce products listed by independent Vendors.

The Vendor remains responsible for the products it sells.


3. Vendor Eligibility

To become a Vendor, you must:

  • Be legally capable of entering into a binding agreement;
  • Provide accurate registration information;
  • Operate a legitimate business or product operation;
  • Have the necessary rights to sell the products you list;
  • Comply with applicable South African laws and regulations;
  • Meet Nutrychem’s product and marketplace requirements.

Nutrychem may request additional information reasonably required to verify your business, products, identity, payment details, or regulatory compliance.

Approval as a Vendor does not constitute an endorsement, certification, guarantee, or regulatory approval of your products.


4. Vendor Application and Approval

All Vendor applications are subject to review.

Nutrychem reserves the right to:

  • Approve or reject applications;
  • Request additional information;
  • Request product samples or supporting documentation where appropriate;
  • Approve some products while rejecting others;
  • Temporarily suspend a listing;
  • Remove products;
  • Suspend or terminate Vendor accounts.

Nutrychem is not required to provide marketplace access to every applicant or product.


5. Vendor Subscription

Nutrychem may offer Vendors access to the marketplace through a subscription model.

Where applicable, Vendors may receive an introductory or free trial period.

After the applicable trial period ends, the Vendor may be required to pay the subscription fee communicated by Nutrychem at the time of registration or renewal.

The applicable subscription price, billing period, trial conditions, and features will be communicated through the Vendor’s account, checkout process, website, or applicable service agreement.

Nutrychem reserves the right to change subscription pricing or features with reasonable notice.

Failure to maintain an active subscription may result in:

  • Suspension of the Vendor storefront;
  • Removal or hiding of product listings;
  • Loss of access to vendor tools;
  • Suspension of new orders;
  • Termination of the Vendor account.

6. Vendor Account

Each Vendor is responsible for maintaining accurate account information.

You must keep your:

  • Business information;
  • Contact details;
  • Banking information;
  • Product information;
  • Inventory;
  • Pricing;
  • Delivery information;
  • Regulatory information

accurate and up to date.

You are responsible for protecting your account login information and must not share your account access with unauthorised persons.


7. Vendor Storefront

Approved Vendors may receive a dedicated storefront or vendor profile within the Nutrychem marketplace.

The storefront may display:

  • Business name;
  • Logo;
  • Business description;
  • Product listings;
  • Product photographs;
  • Product prices;
  • Product descriptions;
  • Public contact or social-media links where permitted;
  • Customer reviews;
  • Other marketplace information.

Nutrychem may format or optimise marketplace listings to maintain a consistent customer experience.


8. Product Listings

Vendors are responsible for ensuring that every product listing is accurate.

Listings must contain truthful and sufficiently detailed information, including where applicable:

  • Product name;
  • Product description;
  • Ingredients;
  • Net quantity or size;
  • Price;
  • Suitable usage information;
  • Warnings and precautions;
  • Storage instructions;
  • Product photographs;
  • Available variants;
  • Stock availability;
  • Relevant regulatory or compliance information.

Vendors must not make misleading claims about their products.


9. Product Quality and Safety

The Vendor is solely responsible for the quality, safety, formulation, manufacture, packaging, labelling, storage, and legality of its products.

Products must:

  • Be safe for their intended use;
  • Be accurately represented;
  • Be appropriately packaged;
  • Be appropriately labelled where required;
  • Not contain prohibited or undisclosed ingredients;
  • Comply with applicable laws and regulations.

Nutrychem may request information or documentation relating to product safety or compliance.


10. Health, Herbal and Wellness Claims

Vendors selling herbal, wellness, nutritional, beauty, or other health-related products must ensure that all claims made about their products comply with applicable legislation and advertising requirements.

Vendors must not make unsupported claims that a product:

  • Diagnoses a disease;
  • Prevents a disease;
  • Cures a disease;
  • Treats a medical condition;
  • Replaces prescribed medical treatment.

Nutrychem may reject or remove claims that it considers misleading, unsupported, inappropriate, or potentially unlawful.


11. Prohibited Products

Nutrychem may prohibit or restrict products that present legal, safety, ethical, regulatory, or reputational concerns.

Unless expressly approved by Nutrychem and legally permitted, Vendors may not list:

  • Illegal drugs or substances;
  • Counterfeit products;
  • Stolen goods;
  • Weapons or prohibited weapons;
  • Explosives;
  • Products that infringe intellectual-property rights;
  • Unsafe or contaminated products;
  • Products containing prohibited substances;
  • Products making unlawful medical claims;
  • Products prohibited by applicable South African law;
  • Products that Nutrychem reasonably considers unsuitable for the marketplace.

Nutrychem may maintain additional Product Listing Guidelines from time to time.


12. Pricing

Vendors generally determine their own retail prices unless a particular Nutrychem programme or promotion states otherwise.

Vendors are responsible for ensuring that their pricing is:

  • Accurate;
  • Clearly displayed;
  • Not intentionally misleading;
  • Updated when necessary.

Nutrychem may require Vendors to correct pricing errors or misleading promotional pricing.


13. Inventory

Vendors are responsible for maintaining accurate inventory information.

If a product becomes unavailable, the Vendor must update or disable the listing as soon as reasonably possible.

Repeated acceptance of orders for unavailable products may result in marketplace restrictions or suspension.


14. Orders

When a customer purchases a Vendor’s product through Nutrychem, the Vendor is responsible for fulfilling the order in accordance with the marketplace’s applicable fulfilment requirements.

The Vendor must:

  • Prepare the correct products;
  • Package them appropriately;
  • Ensure the order matches the customer’s purchase;
  • Dispatch within the applicable fulfilment timeframe;
  • Provide accurate tracking information where required;
  • Communicate promptly regarding fulfilment problems.

Nutrychem may establish service-level requirements for Vendors as the marketplace develops.


15. Shipping and Delivery

Unless otherwise agreed, Vendors are responsible for preparing orders for collection or dispatch.

Delivery may be handled through Nutrychem’s nominated courier or logistics partners, or another approved delivery method.

Vendors must ensure that products are securely packaged for transportation.

Nutrychem may establish packaging, collection, dispatch, and delivery requirements.


16. Returns, Refunds and Defective Products

Vendors must comply with Nutrychem’s Refund & Returns Policy and applicable South African consumer-protection laws.

Where a product is:

  • Incorrect;
  • Damaged due to inadequate packaging;
  • Defective;
  • Significantly different from its listing;
  • Subject to a valid consumer complaint;

the Vendor may be responsible for the applicable replacement, refund, return, or related costs.

Nutrychem may intervene in disputes where reasonably necessary to protect customers and maintain marketplace standards.


17. Customer Service

Vendors are responsible for providing reasonable customer service relating to their products.

Vendors must respond to customer enquiries, complaints, and order-related issues within a reasonable period.

Nutrychem may establish response-time requirements for Vendors.

Repeated failure to respond to customers may affect Vendor standing or marketplace visibility.


18. Vendor Payouts

Where Nutrychem processes customer payments and subsequently pays Vendors, payouts will be made according to the marketplace’s applicable payout schedule and payment procedures.

Nutrychem may deduct applicable:

  • Marketplace fees;
  • Subscription fees;
  • Refunds;
  • Chargebacks;
  • Payment-processing costs;
  • Adjustments;
  • Other amounts legitimately owed by the Vendor.

Nutrychem may delay or withhold a payout where reasonably necessary to investigate suspected fraud, disputes, chargebacks, prohibited activity, or other marketplace violations.


19. Marketplace Fees

Nutrychem may charge Vendors fees for marketplace participation or additional services.

These may include:

  • Vendor subscription fees;
  • Marketplace commissions;
  • Advertising fees;
  • Featured-placement fees;
  • Transaction-related fees;
  • Packaging or fulfilment fees;
  • Photography services;
  • Branding services;
  • Digital marketing services;
  • Other optional business services.

Applicable fees will be communicated before the Vendor incurs them where reasonably practicable.


20. Promotions and Marketing

By listing products on Nutrychem, Vendors may have opportunities to participate in Nutrychem marketing campaigns, marketplace promotions, social-media content, advertising campaigns, email marketing, educational content, or other promotional activities.

Participation in specific paid campaigns may require separate agreement.

Nutrychem does not guarantee a particular number of:

  • Views;
  • Clicks;
  • Leads;
  • Orders;
  • Customers;
  • Sales;
  • Followers;
  • Revenue.

Marketplace visibility may depend on factors including product quality, pricing, customer demand, stock availability, reviews, listing quality, marketplace activity, and promotional activity.


21. Vendor Content and Intellectual Property

Vendors retain ownership of intellectual property they own and submit to Nutrychem, including:

  • Logos;
  • Brand names;
  • Product photographs;
  • Original designs;
  • Product descriptions;
  • Marketing materials.

By submitting content to Nutrychem, the Vendor grants Nutrychem a non-exclusive, royalty-free licence to use, reproduce, display, resize, edit, distribute, and promote that content for purposes reasonably connected with operating and marketing the Nutrychem marketplace.

This licence may include use on:

  • The Nutrychem website;
  • Social-media platforms;
  • Digital advertising;
  • Email marketing;
  • Vendor directories;
  • Marketplace promotions;
  • Educational material;
  • Printed promotional material.

The Vendor confirms that it has the necessary rights to provide the content.


22. Vendor Brand Protection

Vendors must not upload:

  • Copyrighted material they do not have permission to use;
  • Other businesses’ trademarks without authorisation;
  • Misleading certifications;
  • False awards or endorsements;
  • Images belonging to another business;
  • Content that infringes another person’s rights.

The Vendor is responsible for claims arising from intellectual-property infringement caused by content it supplied.


23. Customer Information

Vendors may receive limited customer information where necessary to fulfil marketplace orders.

Vendor access to customer information must only be used for legitimate marketplace purposes.

Vendors may not:

  • Sell customer information;
  • Share customer information with unauthorised parties;
  • Add customers to unrelated marketing lists without an appropriate legal basis or consent;
  • Use customer information for unrelated purposes;
  • Attempt to move customers off the Nutrychem marketplace for the purpose of avoiding marketplace fees.

Vendors must take reasonable steps to protect customer information.


24. Direct Customer Transactions

Nutrychem may prohibit Vendors from using customer information obtained through Nutrychem to deliberately bypass the marketplace.

This includes attempting to redirect Nutrychem customers to external payment methods or transactions for the purpose of avoiding applicable marketplace fees.

Nothing in this clause prevents a Vendor from independently operating its own legitimate business or website outside Nutrychem, provided that it complies with applicable law and does not misuse Nutrychem customer information or marketplace resources.


25. Vendor Reviews and Ratings

Customers may be permitted to rate or review products and Vendors.

Vendors may not:

  • Manipulate reviews;
  • Create fake customer accounts;
  • Purchase fake reviews;
  • Threaten customers for negative reviews;
  • Offer improper incentives for positive reviews;
  • Remove or alter genuine reviews without authorisation.

Nutrychem may moderate reviews that violate applicable policies.


26. Vendor Performance

Nutrychem may monitor marketplace performance indicators including:

  • Order fulfilment;
  • Cancellation rates;
  • Customer complaints;
  • Product returns;
  • Product availability;
  • Response times;
  • Reviews and ratings;
  • Policy compliance.

Poor performance or repeated violations may result in reduced marketplace visibility, temporary suspension, product removal, or termination.


27. Vendor Compliance

Vendors are responsible for obtaining and maintaining all licences, registrations, permits, certifications, approvals, insurance, and other authorisations required for their business and products.

Nutrychem does not provide regulatory certification merely by approving a Vendor or listing a product.

Vendors remain responsible for complying with applicable laws relating to:

  • Product manufacturing;
  • Consumer protection;
  • Advertising;
  • Labelling;
  • Health claims;
  • Cosmetics;
  • Food;
  • Supplements;
  • Taxation;
  • Intellectual property;
  • Data protection;
  • Business operations.

28. Product Recalls and Safety Incidents

A Vendor must immediately notify Nutrychem if it becomes aware of a serious product safety issue, regulatory concern, recall, contamination issue, or other circumstance that may affect customers who purchased its products through Nutrychem.

Nutrychem may temporarily suspend affected listings or take other reasonable action while the matter is investigated.

The Vendor remains responsible for the products it supplied.


29. Vendor Indemnification

To the extent permitted by law, the Vendor agrees to indemnify and hold Nutrychem harmless against claims, losses, damages, liabilities, costs, and expenses arising from:

  • The Vendor’s products;
  • Product defects;
  • Product safety issues;
  • Unlawful product claims;
  • Vendor negligence or misconduct;
  • Intellectual-property infringement;
  • Breach of these Vendor Terms;
  • Violation of applicable laws;
  • Misuse of customer information.

30. Suspension and Termination

Nutrychem may suspend or terminate a Vendor account where reasonably necessary, including where a Vendor:

  • Breaches these Vendor Terms;
  • Provides false information;
  • Sells prohibited products;
  • Repeatedly receives serious customer complaints;
  • Fails to fulfil orders;
  • Misuses customer information;
  • Engages in fraudulent activity;
  • Infringes intellectual-property rights;
  • Fails to maintain required subscriptions;
  • Engages in unlawful conduct;
  • Creates a significant risk to customers or the Nutrychem marketplace.

Where appropriate, Nutrychem may provide the Vendor with an opportunity to correct the issue before termination.


31. Vendor-Initiated Cancellation

A Vendor may request closure of its marketplace account subject to completing outstanding orders, resolving customer issues, and settling outstanding amounts.

Closing an account does not eliminate obligations relating to previous transactions, refunds, disputes, intellectual property, confidentiality, privacy, or other obligations that reasonably survive termination.


32. Effect of Termination

Following termination:

  • The Vendor’s storefront may be removed or disabled;
  • Product listings may be removed;
  • New orders may be restricted;
  • Outstanding financial obligations remain payable;
  • Customer orders may continue to be processed where necessary;
  • Applicable refund and customer-service obligations remain in force.

Nutrychem may retain transaction records where required for legal, accounting, fraud-prevention, or legitimate business purposes.


33. Nutrychem Business Support Services

Vendor access to the marketplace does not automatically include all Nutrychem business-support services.

Additional services may include:

  • Branding;
  • Packaging design;
  • Product photography;
  • SEO;
  • Advertising;
  • Social-media management;
  • Content creation;
  • Website services;
  • Training;
  • Business consulting.

These services may have separate pricing, terms, deliverables, timelines, and agreements.

Payment for a marketplace subscription does not automatically entitle a Vendor to free access to paid professional services unless expressly stated.


34. Marketplace Availability

Nutrychem aims to maintain a reliable marketplace but does not guarantee uninterrupted availability.

The marketplace may temporarily become unavailable due to:

  • Maintenance;
  • Technical issues;
  • Hosting problems;
  • Security incidents;
  • Third-party service interruptions;
  • Internet failures;
  • Force majeure events.

Nutrychem may modify, suspend, or discontinue marketplace features where reasonably necessary.


35. No Guarantee of Sales

Nutrychem provides a platform and business-growth opportunities but does not guarantee Vendor sales, revenue, customer numbers, website traffic, advertising results, or marketplace ranking.

Vendor success depends on numerous factors, including product demand, pricing, quality, branding, customer service, stock availability, competition, marketing, and market conditions.


36. Changes to Vendor Terms

Nutrychem may update these Vendor Terms from time to time.

Where changes materially affect Vendor obligations, Nutrychem may provide reasonable notice through the Vendor dashboard, email, website, or another appropriate communication channel.

Continued use of the marketplace following applicable changes may constitute acceptance of the updated terms.


37. Governing Law

These Vendor Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from the Vendor’s relationship with Nutrychem shall be handled in accordance with applicable South African law and the jurisdiction of the appropriate South African courts.

Vendor Acknowledgement

By registering for or continuing to use the Nutrychem marketplace, you acknowledge that:

  • You are responsible for the products you sell;
  • You will provide truthful and accurate product information;
  • You will comply with applicable laws;
  • You will fulfil customer orders responsibly;
  • You will protect customer information;
  • You will comply with Nutrychem marketplace policies;
  • You understand that Nutrychem does not guarantee sales or revenue;
  • You accept these Vendor Terms & Conditions.

Nutrychem’s goal is not simply to give vendors a place to sell. It is to build a trusted ecosystem where independent product businesses can gain visibility, access business resources, improve their brands, and grow sustainably.
